Wolfworthy Ltd. User-Generated Content Assignment and Release

Terms & Conditions

INTRODUCTION

Thank you for submitting your photos and videos (“User Content”) featuring Wolfworthy Ltd. (“Company”) products. By replying “I accept” or emailing support@wolfworthy.co.uk, you confirm you agree to transfer all rights to the Company under the terms below, what you receive in return, and the legal protections for both you and the Company.

SUBMISSION CHANNELS

Contributors may submit User Content via either of the following channels:

1. Wolfworthy Content Creator Campaign: Email your video or photo to support@wolfworthy.co.uk with the subject line “Wolfworthy Content Creator Submission.” Include your full name, contact email, and dog’s name. By sending this email, you confirm your acceptance of these Terms and assign all rights in the User Content to the Company.
2. Organic Social Share: Share your content organically on social media (e.g., Instagram, Facebook, TikTok) and tag @wolfworthy. Upon review, Wolfworthy may reach out via direct message to request formal assignment of rights. By responding “I accept” to that message, you confirm acceptance of these Terms.

1. DEFINITIONS

1. Company: Wolfworthy Ltd., including its parents, affiliates, successors, and assigns.
2. Contributor: You, the individual submitting and assigning User Content.
3. User Content: Any photograph, video, or multimedia featuring Company products submitted by Contributor, including all associated metadata and derivatives.
4. Assignment: The complete transfer of ownership of copyright and all related rights from Contributor to Company.
5. Consideration: Complimentary free products — see Section 4 for more details.

2. ASSIGNMENT OF RIGHTS

1. “I accept” or emailing support@wolfworthy.co.uk, Contributor assigns and transfers to the Company all worldwide rights, title, and interest in and to the User Content, including but not limited to copyright, moral rights, and any ancillary and neighboring rights.
2. This Assignment is perpetual, irrevocable, and unconditional, effective upon receipt of Contributor’s reply.
3. The company will own exclusively all rights to reproduce, distribute, display, perform, modify, adapt, sublicense, and otherwise exploit the User Content in any medium, format, or channel.
4. Submission via the Wolfworthy Content Creator Campaign email (support@wolfworthy.co.uk with subject “Wolfworthy Content Creator Submission”) or via organic social share DM reply of “I accept” constitutes confirmation of acceptance of these Terms and an assignment of all rights in the User Content to the Company.

3. SCOPE OF USE

1. The company may use the User Content for any marketing, advertising, promotional, editorial, or commercial purpose, including but not limited to social media, websites, print, broadcast, packaging, and third‑party platforms.
2. Company may modify, crop, retouch, animate, add text, overlays, filters, or incorporate User Content into composite or derivative works without further approval.
3. Contributor waives any right to inspect, approve, or receive credit for any use or derivative works created by the Company.

4. CONSIDERATION

1. Video reward: One (1) free 1.5 kg bag of Wolfworthy (flavour chosen by Contributor) plus one (1) each of three Wolfworthy treat varieties.
2. Photo reward: One (1) each of three Wolfworthy treat varieties.
3. Each Contributor may receive a maximum of one (1) video prize and one (1) photo prize, regardless of the number of submissions or how often their Content is used, unless otherwise agreed at Wolfworthy’s sole discretion.

5. REPRESENTATIONS & WARRANTIES

1.  Contributor represents and warrants that:

   a. Contributor is the sole author and owner of all rights in the User Content and has full power to assign those rights.

   b. User Content is original and does not infringe any third‑party rights, including copyrights, trademarks, privacy, or publicity rights.

   c. No other permissions or releases are needed for Company’s use.

   d. User Content no unlawful, defamatory, or inappropriate material.

2. Contributor will indemnify and hold Company harmless from any claims, liabilities, losses, or expenses (including attorneys’ fees) arising from any breach of these representations and warranties.

6. RELEASE & HOLD HARMLESS

1. Contributor releases Company, its officers, directors, employees, agents, and assigns from any and all claims or liabilities of any kind arising from the use of User Content, including claims for defamation, invasion of privacy, or moral rights.
2. This release extends to any modifications or derivative works made by the Company.

7. PRIVACY & DATA PROTECTION

1. Contributor consents to Company’s collection, use, and processing of personal data (e.g., name, likeness) as necessary to exercise its rights under this Agreement.
2. The company will manage personal data in accordance with its Privacy Policy and applicable law. Contributors may request access, correction, or deletion of personal data, which will not affect this Assignment.

8. CONFIDENTIALITY

1. Any non‑public business information exchanged remains confidential.
2. Contributors will not disclose Company’s confidential marketing strategies, launch plans, or internal metrics shared during the collaboration.

9. NO OBLIGATION TO USE

1. Company is under no obligation to use or publish any User Content and may, at its discretion, edit, remove, or archive submissions at any time.

10. TERM & TERMINATION

1. This Agreement is effective and irrevocable upon the Contributor's reply “I accept” or emailing support@wolfworthy.co.uk.
2. Company may terminate only for material breach by Contributor, which remains uncured 30 days after notice; termination does not affect rights already assigned.
3. Wolfworthy reserves the right to amend, modify, or cancel these terms at any time, with or without prior notice.

11. LIMITATION OF LIABILITY

1. Except for Contributor’s breach of Section 5, Company’s liability is limited to the value of the Consideration.
2. The company is not liable for any indirect, incidental, special, or consequential damages.

12. GOVERNING LAW & DISPUTE RESOLUTION

1. This Agreement is governed by the laws of England and Wales.
2. Disputes are subject to the exclusive jurisdiction of the courts of England and Wales.

13. PUBLICITY & MORAL RIGHTS WAIVER

1. Contributor hereby irrevocably waives any moral rights in the User Content, including rights of attribution or integrity, to the fullest extent permitted by law.
2. Contributor consents to the Company’s use of their name, likeness, voice, biographical details, and any associated credits in connection with the User Content, without additional compensation.

14. FORCE MAJEURE

Neither party shall be liable for any delay or failure to perform its obligations due to events beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, pandemics, strikes, or technical failures.

15. SEVERABILITY

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

16. NOTICES

All notices or communications required or permitted under this Agreement shall be in writing and sent to:

• For Company: support@wolfworthy.co.uk
• For Contributor: the email address used to submit the User Content.

17. TAXES & EXPENSES

Contributor is solely responsible for any taxes, duties, or other governmental assessments arising from receipt of the Consideration. The Company is not responsible for any expenses incurred by Contributor in connection with creating or submitting User Content.

18. CONTENT SELECTION & NOTIFICATION

1. All decisions regarding which Content to use are at the sole discretion of the Company.
2. If selected, the Company will contact the Contributor directly using the email address provided with the submission or via the social media account used to share the Content.

ACKNOWLEDGMENT

By replying “I accept” or emailing support@wolfworthy.co.uk, Contributor confirms they have read, understood, and fully agree to transfer all rights in the User Content to Wolfworthy Ltd., accept the Consideration outlined above, and agree to these terms in full.
